The transaction aims to create a Nasdaq-listed digital assets conglomerate spanning digital asset investments, real-world asset (RWA) tokenization, and blockchain applications.
Terms: Animoca Brands shareholders would collectively own approximately 95% of the merged entity, while existing Currenc shareholders would retain approximately 5%. A termination fee of US$5 million is payable by Animoca Brands and US$2.75 million by Currenc under certain conditions.
Currenc Group's subsidiary, Seamless Group Inc., signed a definitive agreement on January 1, 2026, to sell its 60% controlling interest (100,465 ordinary shares) in cross-border payment hub Tranglo Sdn.
